1. Definitions
Throughout this agreement, the following terms have these meanings:
- "Service" refers to AI integration consulting, employee training programs, readiness assessments, and custom roadmap development provided by Kinnaree Tech.
- "User" or "Client" refers to any individual or organization engaging with our services.
- "We", "Us", or "Our" refers to Kinnaree Tech.
- "Content" refers to all materials, documentation, training resources, and deliverables provided through our services.
- "Agreement" refers to these Terms & Conditions and any service-specific contracts.
2. Acceptance of Terms
By accessing our website, engaging our consulting services, or participating in training programs, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
You must be at least 18 years old or have reached the age of majority in your jurisdiction to enter into this agreement. Organizations must ensure that the individual accepting these terms has authority to bind the organization.
If you do not agree with any part of these terms, you must not use our services.
3. Service Description
Kinnaree Tech provides professional AI integration consulting and employee training services specifically designed for businesses in Thailand. Our services include:
- AI Readiness Assessment: Comprehensive evaluation of your organization's current capabilities and infrastructure
- Employee Training Programs: Customized workshops and training sessions focused on AI literacy and practical implementation
- Custom Integration Roadmap: Strategic planning and implementation guidance for AI adoption
Services are available during regular business hours (Monday to Friday, 9:00 AM to 6:00 PM Thailand time) unless otherwise arranged in a specific service agreement.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active clients.
4. User Responsibilities
When engaging with our services, you agree to:
- Provide accurate and complete information during assessment and consultation processes
- Designate appropriate team members to participate in training programs
- Maintain confidentiality of any proprietary methodologies or frameworks shared during consulting
- Use training materials and resources solely for internal organizational purposes
- Comply with all applicable laws and regulations in Thailand regarding AI implementation
- Communicate openly about challenges, constraints, and expectations
Prohibited Activities:
- Unauthorized reproduction or distribution of training materials to third parties
- Reverse engineering or attempting to extract proprietary assessment frameworks
- Using services for illegal purposes or in violation of AI ethics guidelines
- Interfering with service delivery or infrastructure
- Providing false information that could impact assessment accuracy
5. Intellectual Property
All content, methodologies, frameworks, training materials, and deliverables provided by Kinnaree Tech remain our intellectual property unless explicitly transferred through a separate agreement.
Upon full payment for services, clients receive a limited, non-exclusive, non-transferable license to use deliverables (such as roadmaps and training materials) solely for internal business purposes.
Restrictions on Use:
- Materials may not be resold, redistributed, or used to provide consulting services to third parties
- Training content may not be published or shared outside the client organization
- Assessment frameworks and proprietary tools remain the exclusive property of Kinnaree Tech
- Client case studies or results may be used by Kinnaree Tech for marketing purposes with prior written consent
Any insights, strategies, or implementations developed collaboratively during consulting engagements are jointly owned, with clients retaining full rights to their specific applications.
6. Payment Terms
Service fees are determined based on project scope, duration, and complexity. Specific pricing is outlined in individual service agreements or proposals.
Payment Structure:
- Initial deposit required to commence services (typically 30-50% of total fee)
- Milestone payments for phased projects
- Final payment upon completion and delivery of all agreed deliverables
- Payment accepted via bank transfer in Thai Baht (THB)
Invoices are due within 14 days of issuance unless otherwise specified. Late payments may incur a monthly interest charge of 1.5% or the maximum allowed by Thai law, whichever is lower.
Refund Policy:
Initial deposits are non-refundable once project work has commenced. Refunds for subsequent payments are evaluated on a case-by-case basis and depend on work completed. Cancellations must be submitted in writing with at least 7 business days notice for scheduled training sessions.
7. Service Delivery
For Consulting Services:
- Timelines are established in the service agreement based on project scope
- Deliverables are provided in digital format unless otherwise specified
- Revisions are included as outlined in the service agreement
- Client feedback and approvals are required at designated milestones
For Training Programs:
- Sessions conducted on-site or remotely as agreed
- Training materials provided digitally to registered participants
- Certificates of completion issued to participants meeting attendance requirements
- Post-training support available for 30 days following program completion
Delays caused by client unavailability, late provision of required information, or changes in scope may extend timelines. Significant scope changes may require contract amendments and additional fees.
8. Disclaimers
Services are provided "as is" based on our professional expertise and current best practices in AI integration.
We make no guarantees regarding:
- Specific business outcomes or return on investment from AI implementation
- Compatibility with all existing systems or future technology changes
- Employee adoption rates or organizational change success
- Regulatory approval for AI applications in specific industries
Our consulting services provide strategic guidance and recommendations. Implementation decisions and results remain the responsibility of the client organization.
Training programs aim to build AI literacy and practical skills. Individual learning outcomes depend on participant engagement, prior knowledge, and organizational support for application of learned concepts.
9. Limitation of Liability
To the maximum extent permitted by Thai law, Kinnaree Tech's total liability for any claims arising from services provided shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
We are not liable for:
- Indirect, consequential, or incidental damages
- Lost profits, revenue, or business opportunities
- Costs of procurement of substitute services
- Data loss or corruption
- Third-party claims arising from client's implementation of recommendations
Force Majeure:
Neither party is liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, strikes, pandemics, or technology failures. Services will resume when circumstances permit, or contracts may be terminated by mutual agreement.
10. Indemnification
Clients agree to indemnify and hold Kinnaree Tech harmless from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) client's use of services in violation of these terms, (b) client's implementation of AI systems contrary to provided recommendations, (c) client's violation of applicable laws or regulations, or (d) third-party claims related to client's business operations.
11. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. This includes:
- Business strategies, processes, and operational data shared by clients
- Proprietary methodologies, frameworks, and tools used by Kinnaree Tech
- Financial information and pricing structures
- Technical specifications and implementation details
Confidential information may be disclosed if required by law or with prior written consent. Confidentiality obligations survive termination of the service agreement.
12. Termination
Either party may terminate the service agreement with 30 days written notice. Immediate termination is permitted in cases of:
- Material breach of contract terms
- Non-payment of fees after 30 days past due
- Fraudulent or illegal activity
- Conduct that damages the reputation or business of the other party
Effects of Termination:
- Client remains obligated to pay for services rendered up to termination date
- Deliverables completed prior to termination are provided to client upon final payment
- Access to ongoing support or training programs ceases
- Confidentiality and intellectual property provisions remain in effect
Partial refunds may be provided for prepaid services not yet delivered, calculated based on work completed.
13. Dispute Resolution
These Terms & Conditions are governed by the laws of Thailand. Any disputes shall be resolved in accordance with Thai legal procedures.
Resolution Process:
- Informal Discussion: Parties agree to first attempt resolution through good-faith negotiation
- Mediation: If negotiation fails, disputes may be submitted to mediation through a mutually agreed mediator in Bangkok
- Legal Action: Unresolved disputes shall be subject to the exclusive jurisdiction of the courts in Bangkok, Thailand
During dispute resolution, both parties agree to continue performing non-disputed obligations under the service agreement.
14. General Provisions
Entire Agreement: These Terms & Conditions, together with any service-specific agreements, constitute the entire agreement between parties regarding services provided by Kinnaree Tech.
Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment: Clients may not assign rights or obligations without prior written consent. Kinnaree Tech may assign obligations to qualified subcontractors while maintaining overall responsibility for service delivery.
Notice: Official notices must be provided in writing via email to [email protected] or to the address specified in the service agreement.
15. Changes to Terms
Kinnaree Tech reserves the right to modify these Terms & Conditions at any time. Changes become effective upon posting to our website.
Significant changes will be communicated via email to active clients at least 30 days before taking effect. Clients who disagree with changes may terminate their service agreement within this notice period.
Continued use of services after changes take effect constitutes acceptance of the modified terms.
